The billing entity is where revenue lands: client contracts, invoicing, payment flows. We design it for banking access, counterparty trust, and tax-efficient profit extraction. Payment flows and account structure are designed within the revenue layer before legal entities are finalised.

03 — IP / Assets
IP ownership determines where value accumulates and how it is taxed. We place IP in jurisdictions with favourable IP Box regimes and strong treaty networks — separating value creation from operational risk.
- Ireland: 6.25% IP Box (Knowledge Box)
- Cyprus: 2.5% effective on IP income
- UAE: 0% corp tax, IP holding
- Netherlands: Innovation Box 9%
04 — Holding
The holding layer controls equity ownership, dividend extraction and exit structuring. We design it to minimise withholding taxes, protect against litigation, and pre-position the structure for a clean M&A or partial exit.
- Netherlands: participation exemption
- Luxembourg: EU holding tradition
- UAE: ADGM foundation, 0% dividend
- Malta: effective 5% after refund
05 — Founder / Personal
We plan your personal tax residency alongside the corporate structure. The right personal jurisdiction determines how dividends, salary and capital gains are taxed at founder level — and what visa optionality is available.
- Portugal: IFICI (NHR 2.0) specialist regime
- UAE: 0% personal tax + Golden Visa
- Switzerland: lump-sum taxation
